These Terms of Service ("Terms") govern your access to and use of PaidOrbit ("PaidOrbit," "we," "our," or "us") and its websites, applications, APIs, and chat-platform integrations (collectively, the "Service"). By creating an account, connecting a platform, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy . If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

PaidOrbit is an AI-powered marketing analytics platform that connects to your advertising and marketing accounts and lets you ask questions about your own performance data in plain language, including through connected chat platforms such as Slack and Microsoft Teams. We may add, modify, or discontinue features of the Service at any time.

3. Accounts & Eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the accuracy of your account information and for safeguarding your login credentials.
• You are responsible for all activity that occurs under your account and within your workspace, including actions by members you invite.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or the terms of any connected advertising or chat platform;
• Access data you are not authorized to access, or attempt to use the Service to obtain another organization's data;
• Reverse engineer, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• Resell or redistribute advertising data obtained through the Service except as permitted by the source platform's terms.

5. Third-Party Platforms & Integrations

The Service connects to third-party platforms (for example, Google Ads, Meta, Slack, and Microsoft Teams) at your direction. Your use of those platforms is governed by their own terms and privacy policies. You are responsible for having the authority to connect an account and for any consents required from the relevant advertiser or account owner. We are not responsible for the availability, accuracy, or actions of third-party platforms.

6. AI-Generated Content

The Service uses artificial intelligence to generate answers, summaries, and recommendations. AI-generated output may be inaccurate, incomplete, or not suitable for your specific circumstances. Output is provided for informational purposes only and does not constitute financial, legal, or professional advice. You are responsible for reviewing AI-generated content before relying on it or making decisions based on it, and you should not treat it as a substitute for independent judgment or professional guidance.

7. Fees & Billing

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Fees are non-refundable except where required by law or expressly stated. We may change pricing on prospective notice; changes do not affect the current paid term. You can cancel at any time, and cancellation takes effect at the end of the current billing period.

8. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by PaidOrbit and protected by intellectual-property laws. You retain all rights to the data you connect or provide ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service as described in our Privacy Policy.

9. Privacy & Data Protection

Our collection and use of personal information is described in our Privacy Policy , which forms part of these Terms. Where we process personal data on your behalf, a Data Processing Addendum may apply.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the maximum extent permitted by law, PaidOrbit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. Upon termination, the rights granted to you under these Terms end, and we will handle your data as described in the Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Material changes will be communicated where required by law. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which PaidOrbit is established, without regard to conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts of that location, except where applicable law grants you the right to bring proceedings elsewhere.
